Protecting the rights of Western Pennsylvania residents for nearly a century

Criminal charges, even if unfounded, need to be addressed immediately and with great care and precision because even seemingly low level charges can ruin an individual’s life, leading to loss of driver’s or professional licenses, loss of passport and other freedoms, difficulty in obtaining employment, renting an apartment or securing car insurance, and an overall inability to support one’s family.

The criminal law group at Strassburger McKenna Gutnick & Gefsky aggressively defends Western Pennsylvania residents against criminal charges ranging from drunk driving to high-profile white-collar crime. Led by a former Allegheny County Assistant District Attorney Laura Beth Gutnick, our attorneys have the trial experience and knowledge of area criminal courts to represent our clients in any type of criminal matter.

Handling first-time and repeat offenders

We provide clients with legal advice, counseling, representation, and defense for all types of criminal matters in federal, state, magistrate, and juvenile courts, including:

Lead attorney Laura Beth Gutnick uses her experience as a former prosecutor to anticipate charges before they are filed so the preparation of a defense can begin at the earliest possible time to prevent the loss of key evidence. In every case, our attorneys seek acquittal, dismissal, or a reduction in charges to minimize the consequences at sentencing and to reduce court costs, fines or other penalties. We understand the collateral consequences of a conviction, and offer thorough preparation and intensive discussion with our clients to ensure that all bases are covered. When necessary, we use our cross-disciplinary approach to our advantage, applying our knowledge in employment law, business law, and banking to protect those accused of federal crimes, including securities fraud and RICO cases.

Seeking expungements to ensure a better future

Each state permits expungement of criminal records in certain circumstances.

Pennsylvania courts often will grant expungement where a case has resolved with a not guilty verdict, nolle prosse, withdrawal, or dismissal and even in the event of a summary level conviction, provided that the defendant has remained free of arrest or prosecution for five years following the conviction.

In every case, SMGG lawyers do the groundwork to determine a client’s eligibility and undertake the appropriate steps to petition the Court for expungement.

Complete counsel and representation, beginning at any hour on any day

Strassburger McKenna Gutnick & Gefsky criminal law attorneys know the various state laws and local court systems for the Western Pennsylvania area and are able to anticipate the approach the prosecution will take. Whether weekday, evening, or weekend, we stand ready to protect our clients’ rights and futures. To learn more about how we defend against criminal charges, contact Laura Beth Gutnick at lgutnick@smgglaw.com or at 412-720-8017.

Putting our clients’ interests first

At Strassburger McKenna Gutnick & Gefsky, our main goal is the satisfaction of our clients. To learn more about what our Business Services Group can do for you, contact Julie I. Kline at jkline@smgglaw.com.

When selecting an organization structure, form follows substance and the substance is defined by the people who will control the organization. The requirements of a single owner small business, the owners of a multi-generation family business, a business planning to go public, or an investment fund are very different from one another.

At Strassburger McKenna Gutnick & Gefsky, we work closely with our clients to evaluate the best form of organization to achieve their long-term objectives, consistent with business governance, tax, risk, market and financial considerations. This can include various forms of corporations, limited liability companies, general and limited partnerships, joint ventures, and unincorporated organizations, trusts, associations or other forms of special purpose entities. We then implement the plan to form the business in Pennsylvania, Delaware, or any other jurisdiction that is appropriate.

An important part of organizing a business with multiple owners is deciding how the business will be governed and important decisions made. Carefully thought-out decision-making processes, and properly prepared organizational documents, helps minimize disputes among the constituents of the business, and assists the process of financing the business and ultimately achieving a successful exit or transition. The Business Services Group at Strassburger McKenna Gutnick & Gefsky provides guidance in how to structure the decision-making and control provisions in the organizational documents. When needed, we also help our clients navigate through potentially contentious situations.

Forming and growing a successful business requires the right kind and amount of money at the right times. At Strassburger McKenna Gutnick & Gefsky, we help our clients develop a plan for the financing they need to meet their business objectives. Real estate and natural resource development projects require special planning and structuring, often including the need to access and integrate governmental and quasi-governmental funding and tax incentives. We work with our clients to identify the right funding sources—angel, private equity, VC funds, strategic investors, and a wide range of debt financing sources. We then assist them in negotiating and closing on the equity and debt funding at the right time.

We also represent equity and debt investment groups in organizing and obtaining investment and in making portfolio company investments. This dual expertise provides our clients with an understanding of the needs and objectives of both sides of the financing transaction.

At Strassburger McKenna Gutnick & Gefsky, we work with our clients as advisors and transaction lawyers to identify and manage the legal and business issues involved in meeting client objectives—from negotiating and documenting the responsibilities and commitments of the parties to anticipating and, where necessary, resolving the legal and business problems that inevitably arise. Growing a business requires careful planning. Each business and its principals are different, but there is one thing they have in common—the growing business needs a solid foundation. The legal building blocks of that foundation have to be in place and maintained for the business to be successful. This may include a wide range of agreements and policies defining the relationships among the businesses internal and external stakeholders and ongoing regulatory compliance. At Strassburger McKenna Gutnick & Gefsky, we work closely with our clients to define their growth objectives and the business and legal requirements that must be met to achieve those objectives, help them implement their plans, and work through the inevitable changes to plans and documents required to meet changing circumstances.

The principals of privately owned businesses exit from their businesses in many ways and for very different reasons. At Strassburger McKenna Gutnick & Gefsky, our Business Services Group works with our clients on a continuing basis to anticipate and manage changes in their businesses over time, help protect and position them to both build value in their business, and efficiently transfer that value to the next owner—whether the business is designed for rapid growth and sale, to fund retirement, or to be transferred to the next generation.

Where unforeseen health or business problems make it necessary for our clients to quickly change their priorities, we help them quickly redefine their strategy and, where necessary, implement their new plan.

To discuss your business’ growth or exit planning requirements, contact Julie I. Kline.

Aggressive growth businesses present unique business and legal issues for their founders and management. They often are technology based and are intended to grow quickly and provide a highly profitable exit for investors and key personnel. Because of these attributes, the founders, professional and management employees, and angel and institutional investors require specialized organization and financial capitalization structures. The personnel issues of emerging businesses typically are very different from other business ventures.

The aggressive growth phase also presents unique challenges to management and legal counsel. The requirements of the stakeholders in aggressive growth companies, as well as the risks and problems associated with rapid growth, must be anticipated. There is limited margin for error. Seasoned legal counsel that understands both the business and legal needs of the companies, and their founders, investor classes, and the markets into which they will launch their products and services are critically important to the ultimate success of the business. At Strassburger McKenna Gutnick & Gefsky, we pride ourselves on the expertise and support we provide to our emerging business clients from startup to a successful exit.
